Agreement between User and GybeHub

Welcome to www.gybehub.com. The GybeHub website (the "Site") consists of various web pages operated by GybeHub ("GybeHub"). Access to and use of the Site is provided to you conditioned on your acceptance, without modification, of the terms, conditions, and notices contained herein (the "Terms"). Your use of the Site constitutes your binding agreement to all such Terms. Please review these documents carefully and retain a copy for your records.

www.gybehub.com is a specialized platform for maritime event management, regatta coordination, race scoring, sailor and boat profiles, crew coordination, and nautical data services.

Privacy

Your use of the Site is subject to GybeHub’s Privacy Policy. Please consult our Privacy Policy, which governs the Site’s data collection practices and informs users of how their information is utilized.

Electronic Communications

Engaging with the Site or corresponding with GybeHub via email constitutes electronic communications. You consent to receive communications from us electronically and agree that all notices, agreements, disclosures, and other communications provided to you by GybeHub electronically satisfy any legal requirement that such communications be in writing.

Your Account

If you utilize this Site, you are responsible for maintaining the security of your account credentials and for restricting access to your devices. You agree to accept full responsibility for all activities occurring under your account. You may not transfer or assign your account to any third party. You acknowledge that GybeHub is not liable for unauthorized access to your account resulting from the misappropriation or theft of your credentials. GybeHub reserves the right to refuse service, terminate accounts, or edit content at its sole discretion.

Sailor Profiles, Boat Profiles, and Crew Management

GybeHub may allow users to create sailor profiles, boat profiles, crew profiles, crew openings, crew requests, crew lists, crew intent responses, boat call times, skipper notes, and related event or race participation information. You are responsible for ensuring that any information you submit through these features is accurate, lawful, appropriate, and kept reasonably current.

Boat owners, skippers, event organizers, and other users are solely responsible for reviewing crew requests, evaluating whether a sailor is suitable for a particular boat, race, event, or role, and making any participation decisions. GybeHub does not verify sailor experience, credentials, qualifications, availability, fitness, or suitability for any specific vessel, race, event, or sailing activity.

Crew management tools are provided for coordination purposes only. Crew intent responses, boat call times, skipper notes, crew lists, and similar information are not guarantees of attendance, acceptance, safety, seaworthiness, race eligibility, or compliance with any race document, safety requirement, club rule, law, or regulation.

Eligibility and Minors

GybeHub does not knowingly collect personal information from individuals under the age of thirteen. If you are under the age of 18, you may use the Site only with the express permission and supervision of a parent or legal guardian.

Cancellation and Refund Policy

For Event Organizers: You may cancel your registered event at any time prior to the official commencement of the regatta. Upon valid cancellation, you will not be billed for the specific event service. Please direct inquiries to contact@gybehub.com.

For Participants: Cancellation of entry or participation in a specific event is governed by the rules and policies of the hosting organization or Yacht Club. GybeHub is not responsible for issuing refunds for fees paid directly to event hosts.

Links to Third-Party Sites and Services

The Site may contain links to external websites ("Linked Sites"). These Linked Sites are not under the control of GybeHub, and GybeHub is not responsible for the contents, updates, or privacy practices of any Linked Site. These links are provided solely as a convenience, and their inclusion does not constitute an endorsement by GybeHub. Certain functionalities on the Site are fulfilled by third-party providers; by using these features, you consent to the sharing of necessary data with those third parties.

Intellectual Property and Use Restrictions

You are granted a non-exclusive, revocable, and non-transferable license to access GybeHub strictly in accordance with these Terms. You warrant that you will not use the Site for any unlawful purpose. You may not use the Site in any manner that could damage, disable, or impair the infrastructure of GybeHub or interfere with any other party’s use of the service.

All content included in the Service—including text, logos, graphics, and software—is the property of GybeHub or its suppliers and is protected by copyright and intellectual property laws. You agree not to modify, publish, reverse engineer, or create derivative works from any content found on the Site. GybeHub content is not for resale.

Communication Services

The Site may provide forums, chat areas, calendars, notification tools, crew coordination tools, boat call notes, event updates, or other communication features ("Communication Services") designed for user interaction. You agree to use these services only to post material that is proper and relevant. You shall not defame, harass, or violate the legal rights of others, nor shall you upload malicious software or unauthorized advertisements.

GybeHub has no obligation to monitor these services but reserves the right to review and remove materials or terminate user access at its sole discretion.

• Upload malicious software, corrupted files, or viruses
• Collect personal information from others without consent
• Use the Service to advertise or solicit without permission
• Interfere with another user’s use and enjoyment of the Site
• Misrepresent your sailing experience, qualifications, identity, boat information, availability, or relationship to any event, club, boat, skipper, or crew member

User Interactions and Crew Coordination

GybeHub may help sailors, boat owners, skippers, crew members, clubs, and event organizers communicate or coordinate with one another. GybeHub is not a party to any agreement, arrangement, invitation, crew assignment, employment relationship, volunteer relationship, transportation arrangement, or sailing activity that may result from use of the Site.

Users are solely responsible for their interactions with one another, including any decision to invite, accept, reject, remove, or sail with a crew member or boat. Users should exercise independent judgment and take appropriate safety precautions when communicating, meeting, sailing, racing, or participating in any event.

GybeHub does not conduct background checks, credential checks, safety inspections, vessel inspections, or verification of user-submitted experience unless expressly stated in writing.

Materials Provided to GybeHub

GybeHub does not claim ownership of the materials you provide or post, including event content, boat information, sailor profile information, crew profile information, crew notes, images, documents, messages, or other user-submitted content (collectively "Submissions"). However, by posting your Submission, you grant GybeHub a royalty-free, perpetual license to use, reproduce, and distribute your Submission in connection with our business operations. No compensation will be paid for the use of your Submission.

International Users

The Service is controlled and operated by GybeHub from our offices within the USA. If you access the Service from outside the USA, you are responsible for compliance with all local jurisdictions and laws.

Indemnification

You agree to indemnify, defend, and hold harmless GybeHub and its officers and agents from any losses, costs, or liabilities (including attorney's fees) arising out of your use of the Site, your violation of these Terms, your Submissions, your participation in any event or sailing activity, your interactions with other users, or your infringement upon the rights of a third party.

Arbitration and Class Action Waiver

Any dispute arising from these Terms that cannot be resolved through informal negotiation shall be settled by final and binding arbitration administered by the American Arbitration Association (AAA) under the Federal Arbitration Act. The parties agree that any claims will be brought only in an individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Sailing, Racing, and Safety Responsibilities

Sailing and racing involve inherent risks. GybeHub provides software tools for registration, race management, scoring, communication, and coordination, but does not organize, supervise, officiate, inspect, control, or assume responsibility for any race, regatta, vessel, crew, skipper, participant, or on-water activity unless expressly agreed in writing.

Event organizers, race committees, clubs, boat owners, skippers, and participants remain solely responsible for compliance with applicable laws, sailing instructions, notices of race, class rules, safety requirements, equipment requirements, eligibility rules, and prudent seamanship.

Any scoring, registration, crew, schedule, notification, or race management information provided through GybeHub should be reviewed by the appropriate organizer, race committee, skipper, or participant before being relied upon.

Liability Disclaimer

The information and services provided on the Site may contain accuracy errors or typographical inconsistencies. GybeHub and its suppliers make no representations about the reliability or accuracy of the content provided "as is." To the maximum extent permitted by law, GybeHub disclaims all warranties, including merchantability and fitness for a particular purpose.

In no event shall GybeHub be liable for any direct, indirect, or consequential damages, including loss of data or profits, personal injury, property damage, missed communications, crew availability issues, scoring reliance, event cancellation, participation disputes, or claims arising out of the use or performance of the Site. If you are dissatisfied with the Site, your sole remedy is to cease use of the Service.

Termination and Access Restriction

GybeHub reserves the right to terminate your access to the Site at any time without notice. To the maximum extent permitted by law, this agreement is governed by the laws of the State of Michigan, and you consent to the jurisdiction of the courts therein.

Changes to Terms

GybeHub reserves the right to update these Terms at any time. The most current version will supersede all previous versions. We encourage users to periodically review the Terms to remain informed of updates.
